1. Introduction
These Terms & Conditions (“Terms”) govern the use of the services provided by Exmerce Services, operated as a sole proprietorship by Ibrar Ahmad, (“we,” “us,” or “our”). By accessing our website or engaging our services, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, you should not use our website or services.
2. Services Provided
Exmerce Services offers professional Amazon marketplace support and management, including:
- Amazon account management
- Amazon Seller Central operations
- Listing creation and optimization
- PPC (Pay-Per-Click) management
- Store optimization
- Brand registry assistance
- Product research
Service scope may be adjusted by mutual agreement between us and the Client.
3. Client Responsibilities
By engaging our services, the Client agrees to:
- Provide accurate, complete, and up-to-date information necessary for service delivery.
- Grant Exmerce Services the necessary access and permissions to operate within the Client’s Amazon Seller account.
- Ensure compliance with Amazon’s policies and guidelines.
- Cooperate with reasonable requests for information, materials, or approvals.
We are not responsible for delays, errors, or service limitations caused by incomplete or incorrect information provided by the Client.
4. Payment Terms
- Fees for services are charged on a monthly retainer basis, unless otherwise agreed in writing.
- All payments are made through bank transfer only.
- Payment is due before the monthly service period begins unless otherwise stated.
- Late or missing payments may result in suspension or termination of services.
5. Money-Back Guarantee
We offer a 100% money-back guarantee under the following conditions:
- If the Client is not satisfied with the service performance within the first two (2) months of onboarding, they may request a full refund of all payments made during that period.
- Refunds will not be provided after the initial two-month window unless otherwise agreed in writing.
6. Account Access and Security
The Client acknowledges that providing Amazon Seller account access is necessary for service delivery.
- We take reasonable measures to protect and safeguard Client credentials.
- Access credentials provided by the Client will be used exclusively for the purpose of service delivery.
- The Client is responsible for maintaining backup and recovery access to their Amazon account.
- We are not liable for account suspensions caused by Amazon’s internal systems, policy enforcement, or historical account issues unrelated to our services.
7. Confidentiality
All Client information, Amazon account data, business materials, and communications shared with Exmerce Services will be treated as confidential.
We do not share, sell, or disclose Client information to third parties except where required by law.
8. Intellectual Property
Unless otherwise agreed in writing, all deliverables (listings, creatives, reports, documents) created by Exmerce Services remain the intellectual property of the Client upon full payment of fees.
We retain the right to use anonymized, non-identifiable performance data for internal quality improvement.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Exmerce Services will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Exmerce Services’ total liability for all claims, losses, or damages shall not exceed the total amount paid by the Client for the services in the three (3) months preceding the claim.
- We are not responsible for losses caused by:
- Amazon account suspensions unrelated to our actions
- Delays or failures caused by Amazon systems or policies
- Incorrect or incomplete information provided by the Client
- Unauthorized changes made to the account by the Client or third parties
10. Termination of Services
Either party may terminate the service agreement by providing written notice.
Upon termination:
- Services will cease immediately unless otherwise agreed.
- Outstanding balances must be settled promptly.
- All Client data will be deleted within six (6) months, in accordance with our Privacy Policy.
11. No Guarantee of Performance
While we strive to maximize results and performance, Exmerce Services does not guarantee specific outcomes, including sales volumes, account ranking, or Amazon performance metrics.
Results may vary depending on market conditions, product quality, competition, and compliance factors.
12. Governing Law
These Terms are governed by and interpreted in accordance with the laws of Pakistan.
Any disputes arising under these Terms shall be resolved exclusively by the courts of Pakistan.
13. Updates to Terms
We may update or revise these Terms from time to time. Updated versions will be posted on our website with the revised effective date. Your continued use of our services constitutes acceptance of any updated Terms.
